1. The agreement

These Terms of Service ("Terms") are a contract between you and Emerald Infinite LLC ("Emerald Beacon News Wire", "we", "us"). By creating an account or clicking Create account you agree to these Terms, our Privacy Policy, the Acceptable Use Policy, the Editorial Guidelines and, if you subscribe, the Subscription Terms.

If you use Emerald Beacon News Wire for an organization, you confirm you are authorized to bind it, and "you" includes that organization. You must be at least 18 years old.

2. What Emerald Beacon News Wire does

Emerald Beacon News Wire helps you draft press releases with AI assistance, submits them to human editorial review, publishes approved releases on the Emerald Beacon News Wire Newsroom and your Brand Media Room, delivers them to the channels in the package you buy, and reports where your release appeared.

Some channels are operated by third parties (syndication partners, search engines, AI answer engines, news outlets and journalists). They decide independently whether and how to use your release.

3. You are the author and publisher of your releases

AI features draft and suggest text at your direction. You review, edit and approve every word before submission. You are the author and publisher of record of each release and its quotes, images and attachments ("Customer Content").

You warrant that, for all Customer Content: (a) you own it or have every right, license and permission needed, including for images, logos and quoted people; (b) it is truthful, accurate and not misleading; (c) every quote is attributed to a real person who approved it; (d) it complies with law, including securities, consumer protection, advertising and privacy law; and (e) it complies with our Acceptable Use Policy and Editorial Guidelines.

4. Editorial review and our rights

Every release passes an automated pre-screen and a human editor before it publishes. We may refuse any release, request changes, edit for style and format (we show you every edit before publication), and remove or withdraw any release at any time, including after publication, if we believe it violates these Terms, our policies or law.

Review does not make us the author of your content and is not legal review or verification of your claims.

5. No guarantee of pickup, placement, indexing or AI citation

We guarantee publication of approved releases on the Emerald Beacon News Wire network and delivery to the partner circuits included in your package. We do not guarantee that any outlet, journalist, search engine or AI answer engine will publish, index, rank, cite or cover your release. Partner networks are independent third parties; reach figures are quoted as each partner documents them.

6. Embargoes

Embargoed releases are shown before the public time only to verified journalists who agreed to our Embargo Policy. Embargo protection is best effort. We are not liable for a third party's breach of an embargo.

7. Fees, credits and refunds

Prices are shown on the Pricing page and at checkout before you pay. One credit distributes one release at its package tier. Refunds follow the Refund Policy: a rejected release returns its credit automatically; a published release is not refundable except for partner circuits that were not delivered.

Subscriptions renew automatically until cancelled, as described in the Subscription Terms.

8. License to your content

You keep ownership of Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, translate (when you request it), publish, distribute and display Customer Content to provide the service, including through syndication partners, RSS, sitemaps and our Newsroom, and to keep published releases available as press records unless they are withdrawn.

9. Third-party content

Releases on Emerald Beacon News Wire are third-party content issued by the named organization and labeled "Press Release · Issued by {Brand}". We act as a host of that content. Report problems through Report abuse or our DMCA process.

Repeat infringers. If content from an organization is removed after three valid copyright notices in any 12-month period, we terminate that organization's account after a staff review confirms the notices. When we remove content after a notice we tell the issuer. If the issuer sends a valid counter-notice, we forward it to the person who complained, and the content may be restored 10 to 14 business days later unless they tell us they have filed a court action.

10. Digital Services Act (EU)

Single point of contact. EU authorities, the European Commission and users can reach us at trust@emeraldwire.com. We accept communications in English.

How moderation works. Every release passes an automated pre-screen that flags possible policy issues, then a human editor decides whether it publishes. Published content can be reported through Report abuse or our DMCA process; a person reviews each report.

Statement of reasons. If we refuse, remove or restrict a release, or suspend an account, we send the affected customer a statement explaining what we did, which rule or law it relied on, whether automated tools were involved, and how to appeal.

Appeals. Reply to that statement or email trust@emeraldwire.com within 6 months. A different editor reviews the decision and we tell you the outcome. You may also use a certified out-of-court dispute settlement body or go to court.

11. Indemnity

You will defend, indemnify and hold harmless Emerald Infinite LLC, its affiliates and personnel from claims, damages, losses and costs (including reasonable attorneys' fees) arising from your Customer Content, your use of the service, or your breach of these Terms or law.

12. Disclaimers and limitation of liability

The service is provided "as is" and "as available". To the fullest extent allowed by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent allowed by law, our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or coverage.

13. Suspension and termination

You may stop using the service and delete your account at any time in Settings → Data. We may suspend or terminate accounts that violate these Terms. Published releases may remain public as press records as described in the Privacy Policy.

14. Dispute resolution, arbitration and class-action waiver

Please read this section carefully. Except for small-claims matters and claims for injunctive relief over intellectual property, you and we agree to resolve disputes by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and waive the right to a jury trial and to participate in a class action.

You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@emeraldwire.com with your name, account email and a clear statement that you opt out.

15. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Subject to section 14, courts in Salt Lake County, Utah have exclusive jurisdiction.

16. Changes

We will notify you of material changes by email or in the app at least 30 days before they take effect. Continued use after that date means you accept the updated Terms. Each version is recorded with its effective date.
